The terms and conditions governing your use of the Sourcery platform.

These Terms of Service (“Terms”) govern your access to and use of the website https://www.sourcery.property, the Sourcery platform, and any related services (collectively, the “Platform”) operated by Sourcery Property Limited (“Sourcery”, “we”, “us”, or “our”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Nature of the Platform

Sourcery is an online marketplace that connects property deal sourcers (“Deal Sourcers”) with investors (“Investors”).

The Platform includes both publicly accessible website content and account-based services, including dashboards, listings, messaging, and payment functionality.

Sourcery:

  • does not own, verify, or guarantee any deals listed on the Platform;
  • is not a party to any agreement between Investors and Deal Sourcers;
  • does not provide financial, investment, legal, or property advice;
  • does not act as an estate agent, broker, or fiduciary.

Users are solely responsible for conducting their own independent due diligence before entering into any transaction.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements under the laws of England and Wales.

3.2 Account Registration

To access certain features, you must create an account and provide accurate and complete information.

You agree to:

  • keep your account information up to date;
  • maintain the confidentiality of your login credentials;
  • accept responsibility for all activity under your account.

We may suspend or terminate accounts that provide false or misleading information.

4. User Roles

4.1 Investors

Investors may:

  • browse property deals;
  • reserve deals by paying a sourcing fee;
  • communicate with Deal Sourcers via the Platform.

4.2 Deal Sourcers

Deal Sourcers may:

  • list property deals;
  • receive payment upon completion of a deal;
  • be required to complete identity and payment verification before receiving payouts.

We reserve the right to require additional verification at any time.

5. Listings and Content

Deal Sourcers are responsible for all content they submit to the Platform.

By listing a deal, you confirm that:

  • the information provided is accurate and not misleading;
  • you have the right to market or introduce the opportunity;
  • the deal complies with all applicable laws and regulations.

You must not:

  • publish false or deceptive listings;
  • impersonate another individual or business;
  • list deals without proper authority.

We reserve the right to remove or modify content at our discretion.

6. Payments

6.1 Payment Processing

Payments on the Platform are processed securely via third-party payment providers. Sourcery may change payment providers at any time without notice.

6.2 Sourcing Fees

Investors may reserve deals by paying a sourcing fee.

By making a payment, you confirm that:

  • you understand the nature of the fee;
  • you agree to the Platform’s payment, refund, and dispute policies;
  • you are entering into a transaction at your own risk.

6.3 Holding of Funds

Funds paid by Investors:

  • are held via third-party payment providers;
  • are not immediately released to the Deal Sourcer;
  • are only released once the deal is marked as completed in accordance with these Terms.

Sourcery controls when funds are released.

6.4 Platform Fees

Sourcery charges a platform fee, which is deducted before funds are released to the Deal Sourcer.

The applicable fee may be displayed on the Platform or otherwise communicated.

6.5 Payouts to Deal Sourcers

Deal Sourcers will receive payment only if:

  • the deal is marked as completed;
  • all required verification has been successfully completed;
  • no dispute or restriction applies.

We may delay or withhold payouts where reasonably necessary, including for compliance, fraud prevention, or dispute resolution.

7. Refunds and Disputes

7.1 Refunds

Refunds may be issued where:

  • a deal cannot proceed;
  • a deal is materially misrepresented;
  • the Deal Sourcer fails to deliver the agreed opportunity.

Refunds are not guaranteed and are assessed on a case-by-case basis.

Refunds may not be issued where:

  • the Investor changes their mind;
  • the Investor fails to proceed without valid reason.

7.2 Disputes

If a dispute arises:

  • funds may remain held while the matter is reviewed;
  • Sourcery may request information from both parties;
  • Sourcery will determine a resolution at its reasonable discretion.

Sourcery’s decision is final, subject to applicable law.

8. Platform Rules

You agree not to:

  • use the Platform for unlawful purposes;
  • provide false or misleading information;
  • engage in fraudulent or deceptive activity;
  • attempt to bypass the Platform to avoid fees.

We may suspend or terminate accounts that breach these rules.

9. No Advice or Endorsement

Sourcery does not provide financial, investment, legal, or property advice.

Nothing on the Platform should be interpreted as a recommendation or endorsement of any deal.

You should seek independent professional advice before making decisions.

10. Limitation of Liability

To the fullest extent permitted by law:

  • Sourcery is not responsible for the accuracy of any listing;
  • Sourcery is not liable for the outcome of any transaction;
  • Sourcery is not responsible for agreements between users;
  • Sourcery is not liable for losses resulting from reliance on Platform content.

Sourcery’s total liability to you shall not exceed the amount you have paid to the Platform in the preceding 12 months.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under UK law.

11. Third-Party Services

The Platform relies on third-party providers, including payment processors.

We are not responsible for:

  • failures or interruptions of third-party services;
  • actions or omissions of those providers.

Your use of such services may also be subject to their terms.

12. Suspension and Termination

We may suspend or terminate your account if:

  • you breach these Terms;
  • we suspect fraud or misuse;
  • required for legal or compliance reasons.

You may stop using the Platform at any time.

13. Changes to the Platform

We may:

  • modify or discontinue features;
  • change pricing or fees;
  • update these Terms.

We will update the “Last Updated” date when changes occur.

14. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
